NCL Corporation Launches $850M Notes

On December 18, 2020, NCL Corporation Ltd. closed its previously announced private offering of $850 million aggregate principal amount of 5.875% senior notes due 2026. The Notes were issued pursuant to an indenture, dated December 18, 2020, by and among NCLC, as issuer, the guarantors named therein and U.S. Bank National Association, as trustee, principal paying agent, transfer agent and registrar. NCLC expects to use the net proceeds from the Offering for general corporate purposes.

Interest on the Notes will accrue from December 18, 2020 and is payable semi-annually in arrears on March 15 and September 15 of each year, beginning on March 15, 2021, at a rate of 5.875% per year. The Notes will mature on March 15, 2026 unless earlier redeemed or repurchased. The Notes will be guaranteed by certain of NCLC’s subsidiaries on a senior unsecured basis.
